Professional Services Contract

This agreement forms a binding and legal relationship between the Customer and the Independent Professional for professional chef services booked by the Customer (“Booking”) on the Yhangry Website or App (“Booking Platform”).

Yhangry Limited is a private limited company registered in England and Wales with company No. 11874670 (“Yhangry”). Yhangry provides the Booking Platform and acts as an interface and commercial agent between the Customer and the Independent Professional. Yhangry is not a party to this agreement.

PARTIES

“Customer”: the person who makes a booking on, and pays for, professional chef services (“Professional Services”) through the Booking Platform.

“Independent Professional”: the chef who will provide the Professional Services as principal to the Customer under the terms of this agreement.

COMMENCEMENT

The Customer’s Booking on the Booking Platform is an offer by the Customer to enter into this agreement with the Independent Professional.

This agreement is created, and the Customer’s offer is accepted, when the Customer receives a confirmation email from Yhangry confirming the name of (and other information about) the chef for the Booking (who will be the Independent Professional).

DURATION

This agreement will continue until the Professional Services have been completed in accordance with the Booking, unless the Customer or Independent Professional exercises their right to cancel in accordance with the Booking Terms, in which case this agreement will terminate when Yhangry confirms the Booking is cancelled.

SERVICES

The Independent Professional shall provide the Professional Services as set out in the Booking (including the location and menu chosen by the Customer). As part of providing the Professional Services, the Independent Professional will:

prepare and cook food to the highest quality and hygiene standards;
ensure a clean kitchen on completion of the service including cleaning:
1. all cookware and utensils used in preparing and cooking, but not the dishes used by the Customer for the consumption of the meal ; and
2. the kitchen counter, including any spillages on the floor.

If chosen by the Customer as part of the Booking, the Independent Professional shall also ensure that any dishes used during the meal are cleaned and the table is clean and clear after the meal.

The Independent Professional shall provide the Professional Services to the highest professional standard and in accordance with all applicable laws from time to time in force. The Independent Professional will interact with the Customer in a friendly and respectable manner at all times and shall promptly deal with any matters or issues relating to the Professional Services including dealing with any Customer complaints.

PRICE AND PAYMENT

Yhangry offers a payment gateway as a commercial agent for the Independent Professional. The Customer will pay the price indicated for the Booking on and through the Booking Platform in accordance with the Booking Terms and Yhangry will pay the Independent Professional for the Professional Services provided under this Agreement.

LIABILITY

The Independent Professional shall be directly responsible to the Customer for any failure to fulfil the Professional Services, for any damage caused by the Independent Professional whilst carrying out the Professional Services and for any other legal liability which arises in respect of the Professional Services, save where such liability arises as a result of Customer negligence.

Nothing in this agreement shall exclude or in any way limit the Independent Professional’s liability for fraud, or for death or personal injury caused by its negligence, or for its wilful default or any other liability to the extent the same may not be excluded or limited as a matter of law.

TERMINATION

This agreement may be terminated by the Independent Professional or the Customer exercising their cancellation rights in accordance with the Booking Terms.

GOVERNING LAW

This agreement shall be governed by and interpreted in accordance with English law. This means that any dispute or claim arising out of or in connection with it (including non-contractual disputes or claims) will be governed by English law. The parties agree to the exclusive jurisdiction of the English Courts to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it.
