Terms of Service for US Users

These Terms of Service (“Terms”) are a binding agreement between you and Yhangry, Inc. (“Yhangry,” “we,” “us,” or “our”) governing your use of the Yhangry website, mobile application, and related services (the “Platform”).
The Platform enables customers (“Clients”) to connect with independent chefs and culinary professionals (“Chefs”) for in-home cooking, meal preparation, and related culinary experiences (“Chef Services”).
By accessing or using the Platform, you agree to be bound by these Terms.
1. Role of Yhangry
- Yhangry is a marketplace platform, not a catering company. We do not provide Chef Services.
- Chefs are independent contractors, not employees, partners, or agents of Yhangry.
- Yhangry does not supervise or control Chefs, guarantee their qualifications, or warrant the safety or outcome of Chef Services.
2. Account Registration
- Users must be at least 18 years old.
- You must provide accurate information and keep your account details updated.
- You are responsible for safeguarding your account and all activity under it.
3. Booking and Payments
- When a Client books a Chef, the Client agrees to pay the Total Price, which includes the Chef’s fee, applicable taxes, and Yhangry’s service fee.
- Payments are processed via Stripe. Chefs authorize Yhangry to collect payment on their behalf.
- All amounts are due at booking. Except as provided in Section 5 (Cancellations and Refunds), payments are non-refundable.
4. Service Agreements
- When a Client books a Chef through the Platform, a direct contract (a “Service Agreement”) is formed between the Client and the Chef.
- Yhangry is not a party to the Service Agreement. Our role is limited to providing the Platform and facilitating payments as the Chef’s limited collection agent.
- Each Service Agreement incorporates:
- The booking details confirmed through the Platform (date, time, number of guests, price, and any agreed menu or special requests).
- These Terms of Service and all incorporated policies (including the Cancellation and Refund Policy, Food Safety & Allergy Policy, and Community Guidelines).
- Any additional requirements communicated and agreed between the Client and Chef through the Platform’s messaging system, provided they do not conflict with these Terms.
- Clients and Chefs are solely responsible for performing their obligations under the Service Agreement.
- Yhangry does not guarantee the performance, safety, legality, or outcome of any Service Agreement.
5. Service Labels (“Superchef,” “Premium,” “Luxury”, etc.)
- Yhangry may display Chef Services with labels such as “Superchef,” “Premium,” or “Luxury.”
- These are marketing designations only and not guarantees of safety, quality, licensing, or outcome.
- Clients remain responsible for verifying whether a Chef meets their needs, including dietary, safety, or certification requirements.
- Yhangry reserves the right to set or change the conditions for awarding such labels, or to remove them entirely, at any time and without notice to Chefs.
6. Fees and Payments
- Service Fees: Yhangry charges service fees to Clients and Chefs. The specific amount of any service fee will be disclosed at the time of booking and/or payout. Service fees are non-refundable except as required by law.
- Payouts to Chefs: After a completed booking, Yhangry (via Stripe) will release payment to the Chef, less service fees and applicable taxes, within 2 business days.
- Cancellations: Payouts follow the Cancellation and Refund Policy in Section 7. If a Client cancels within 7 days of the event, the Chef will receive full payment; if cancelled earlier, the Chef receives no payout. If a Chef cancels, the Client receives a full refund and the Chef will not be paid.
- Payment Method Authorization: Clients authorize Yhangry to charge their payment method for the Total Price at the time of booking. Chefs authorize Yhangry to collect payments on their behalf and deduct applicable service fees, taxes, chargebacks, or refunds.
- Taxes: Chefs are solely responsible for reporting and paying any income, sales, or other taxes arising from their earnings. Yhangry may collect and remit certain transaction taxes (such as sales tax) where required by law.
- Withholding & Offsets: Yhangry may withhold or offset amounts from a Chef’s payout if (i) a refund or chargeback is issued, (ii) Yhangry determines there has been fraud, misconduct, or breach of these Terms, or (iii) required by law.
- No Circumvention: All payments must be processed through the Platform. Clients and Chefs agree not to make or accept payments outside the Platform for bookings arranged via Yhangry.
7. Cancellations and Refunds
- Client Cancellations:
- Clients may cancel a booking up to 7 days before the scheduled event for a full (100%) refund.
- If a Client cancels within 7 days of the event, the booking is non-refundable, and the Chef will receive full payment.
- Chef Cancellations:
- If a Chef cancels at any time, Clients will receive a full refund.
- Yhangry may, at its discretion, assist Clients in rebooking with another Chef.
- Exceptional Circumstances:
- Yhangry may override these policies in cases of emergencies, unsafe kitchen conditions, or other exceptional circumstances.
8. User Responsibilities
- Clients agree to:
- Provide safe, sanitary kitchen conditions (working appliances, clean surfaces).
- Disclose all food allergies, intolerances, and dietary restrictions in advance.
- Supervise children and pets during Chef Services.
- Understand that despite disclosures, cross-contamination may occur and Yhangry cannot guarantee allergen-free meals.
- Chefs agree to:
- Comply with all applicable health, food safety, and occupational laws.
- Maintain all required licenses, permits, and insurance.
- Maintain food handler or food protection manager certification (ANSI-accredited or state equivalent).
- Provide Clients with a complete ingredient list for all menu items, including disclosure of allergens as required by law.
- Disclose any limitations or special requirements for their services.
- Leave the Client’s kitchen in reasonable condition after service.
- California Chefs (if applicable):
- Must comply with California Retail Food Code provisions, including those governing Cottage Food Operations and Microenterprise Home Kitchen Operations, where authorized.
- Represent and warrant that all required permits, inspections, and meal volume limits are adhered to.
9. Assumption of Risk
- Clients acknowledge risks in allowing a Chef into their home (including accidents, injury, or property damage).
- Chefs acknowledge risks in working in Clients’ homes (including unsafe conditions, illness, or injury).
- Both parties assume these risks to the maximum extent allowed by law.
10. Reviews and Content
- Users may post reviews and other content.
- By posting, you grant Yhangry a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content.
- We may remove content that violates our policies, is misleading, defamatory, discriminatory, or unlawful.
11. Media Release & Publicity Rights
- You grant Yhangry the right to use your name, likeness, image, biographical information, and food photos or videos for marketing and promotional purposes, without additional compensation.
- Yhangry owns all intellectual property rights in marketing materials it creates.
12. Termination
- You may close your account at any time.
- Yhangry may suspend or terminate your account for violations of these Terms, law, or Platform misuse.
13. Disclaimers & Limitation of Liability
- The Platform and all Chef Services are provided “as is,” without warranties of any kind.
- Yhangry disclaims responsibility for:
- Foodborne illness, allergic reactions, or dietary impacts.
- Accidents, injuries, or damages occurring during Chef Services.
- Chefs’ qualifications, licensing, or compliance with local regulations.
- To the maximum extent allowed by law, Yhangry’s liability is limited to the greater of $100 or the total fees paid to us in the 6 months before the claim.
14. Indemnification
- You agree to indemnify and hold Yhangry, its affiliates, and employees harmless from claims, damages, or expenses arising out of your use of the Platform or Chef Services.
15. Governing Law
- These Terms are governed by the laws of the State of California and applicable U.S. federal law.
- Certain state consumer protection laws (including California, New York, Massachusetts, and others) may provide additional rights. Where state laws conflict, the most protective provisions for consumers apply.
16. Dispute Resolution – Arbitration, Class Action Waiver & PAGA
PLEASE READ CAREFULLY. IT AFFECTS YOUR RIGHTS.
- Agreement to Arbitrate: Any dispute between you and Yhangry will be resolved by binding individual arbitration under the Federal Arbitration Act (FAA) and administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
- Class Action Waiver: You waive any right to a jury trial or to participate in class actions, class arbitrations, or representative actions. Relief may only be awarded on an individual basis.
- California PAGA Waiver: To the fullest extent permitted by law, you waive the right to bring representative actions under California’s Private Attorneys General Act (“PAGA”). Any individual PAGA claims must be arbitrated; any representative PAGA claims (if deemed non-waivable) will proceed only in civil court, stayed pending arbitration of individual claims.
- Opt-Out: You may opt out of this Arbitration Agreement by sending a signed written notice to [email protected] within 30 days of creating your account.
- Pre-Arbitration Resolution: Parties agree to attempt informal resolution for 30 days before filing arbitration.
- Exceptions: Either party may (i) bring claims in small claims court, (ii) seek injunctive relief for intellectual property misuse, or (iii) pursue claims excluded from arbitration by law.
- Costs: If your claim is under $10,000, you may elect whether arbitration proceeds via documents or phone. Yhangry will pay arbitration fees if required by AAA rules or necessary to ensure fairness.
17. Miscellaneous
- These Terms are the entire agreement between you and Yhangry.
- If any provision is unenforceable, the rest remains valid.
- We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice (such as by email or through the Platform). Continued use of the Platform after the effective date of changes constitutes acceptance.
